Comments on the incorporation of an LLC in Russia

The Articles of Association must be written in Russian and signed by the Director or the founder (investor). The application form must be signed at a public notary office by the Director or the founder (investor). |

A Temporary account is to be opened exclusively for the purposes of depositing the registered capital. |

Minimum registered capital: 10,000.00 Roubles (EUR 300.00); at least 50% of the registered capital must be paid in before the incorporation. |

(Tax Office in Moscow) The application and the corporate documents shall be submitted by the applicant in person. Alternatively, the application can be sent to a tax office via post-mail. |

The tax office shall issue a Certificate of Registration of the newly-established company and a Certificate of a Taxpayer. Certificates confirm the relevant entry with the Unified Register of Legal Entities of the Russian Federation |

Foreign currency account and account for Russian currency (ruble) can be opened; once these accounts are opened, assets from temporary account are automatically transferred to these accounts; as soon as this transfer is effectuated, the temporary account is being closed. |
